Reseller Agreement

This Reseller Agreement applies in addition to the Terms of Service when a tenant is designated a reseller ("Reseller") within Nexvora, gaining the ability to create and manage child tenant accounts under its own parent tenant.

1. Reseller Status

Reseller status is granted by Connect Globa Consults ("we", "us") at our discretion, typically to ISPs, systems integrators, or managed service providers who deploy Nexvora on behalf of multiple downstream customers.

2. Scope of Access

As a Reseller, you may view and manage data belonging to your own child tenants, but never data belonging to other resellers or tenants outside your hierarchy. This is enforced at the platform level via tenant-scoped queries; you must not attempt to circumvent this scoping.

4. Billing

Unless a separate wholesale/reseller pricing agreement is in place, each child tenant is billed individually under the license tier assigned to it, consistent with the Refund & Billing Policy. Any wholesale terms, revenue share, or volume pricing must be documented in a separate written agreement between you and us.

5. Data Protection

Where you, as Reseller, determine the purposes of processing your child tenants' subscriber data (e.g. you configure their captive portals and plans on their behalf), the Data Processing Agreement applies to you as an intermediate processor/controller relative to those child tenants, in addition to our own DPA obligations to you.

6. Suspension or Removal of Reseller Status

We may suspend or remove reseller status for breach of this Agreement, the Terms of Service, or the Acceptable Use Policy, with notice where practicable. Removal of reseller status does not automatically terminate child tenant accounts, which continue under standard tenant terms.

7. No Exclusivity

This Agreement does not grant exclusivity in any territory or vertical unless separately agreed in writing.
